    Richard H. Bruck specializes in advising public and private clients in connection with mergers, acquisitions and reorganizations and borrowers in interim (bridge) and permanent financings. Over the course of his 37 year career, Richard has represented public and private companies, institutional investors, venture capitalists, personal investment groups, broker-dealers and strategic industry partners in all types of financing transactions.

    Historically, Richard’s clients have been engaged in a variety of businesses and industries such as clothing manufacturing, heavy equipment sales and distribution, equipment leasing and financial (credit) industry services, commercial electronics, cancer diagnostics, medical billing, pharmaceutical distribution and software development. Richard also devotes a significant portion of his time to financing the growth of technology based businesses in software development, medical device, biotechnology and pharmaceuticals.

    Richard has been counsel to corporations and other issuers in more than 20 IPOs and 200 private placements. He has been counsel to (i) broker-dealers in numerous IPOs and private placements; (ii) private companies and their shareholders in an aggregate of more than $300 million of angel investor and venture capital financing transactions preparatory to IPOs; and (iii) buyers and sellers in merger and acquisition transactions with gross sale proceeds totaling in excess of an aggregate of $750 million.

    Rancho Consulting Corp. provides its clients: (i) business consulting services for companies seeking venture capital, mezzanine or permanent debt financing, (ii) pre-IPO consulting and strategic planning for companies seeking to access the public capital markets; and (iii) management consulting services through participation on client board of directors or advisory committees, devising innovative solutions for complex legal/operational issues, and implementing creative business workout solutions for debt challenged companies.

    Rancho Consulting Corp. works with clients to build relationships and add value to their organization. Rancho helps entrepreneurs grow their business to new heights or works with existing management to devise innovative strategies to exploit opportunities in the industry and markets serviced by the business. Rancho serves clients in the “middle market” preparing them for an ultimate exit strategy through IPO or acquisition. Rancho also consults with management and advises regarding the disposal of non-core business segments and analyzes horizontal and vertical acquisition targets in order to optimize market penetration.

    Richard serves as a director of public and private companies and of charitable organizations. His extensive experience as a corporate finance attorney and knowledge of accounting makes Richard qualified to act as a “financial expert” and as a chair of an audit committee of the board of directors of a public company.

    Richard has authored two published articles on securities law topics and has been a frequent lecturer/panelist on merger and acquisition topics and securities, corporate financing and entity formation and selection for the California Continuing Education of the Bar and private educational companies.
